1. Revise White Papers, Light Papers, Private Placement Memorandums, Subscription agreements and Compliance manuals. 2. Research and analyze SEC comments and guidance on blockchain and token-related matters 3. Research and work with foreign and domestic jurisdictions other than the US one (in particular, a general knowledge of Middle-East, Singapore and EU jurisdictions will be considered as a plus). 4. Communicate with foreign and domestic professionals. 5. Draft operating agreements, stock certificates, shareholder agreements, and other corporate documents needed for already existing and also new companies. 6. Review corporate paperwork for existing companies to determine if amendments are needed. 7. Provide assistance to senior level attorneys and staff members with buy/sell agreements, stock purchase agreements, employee agreements, lease agreements, NDAs, non-compete agreements, employee manuals and other corporate agreements. 8. Effectively organize and maintain partner files.

1. Minimum 3+ years job experience as a legal counsel in corporate and business law area. 2. Willing to pitch in and support growing company in a fast-pace 3. Skilled at meeting strict deadlines. 4. Prior background in securities and/or blockchain industries will be considered as a plus. 5. Ability to handle multiple tasks simultaneously with a high degree of professionalism and business acumen. 6. Excellent verbal and written communication skills to effectively work with various types of partners. 7. Fluent English language is a must e.g. IELTS 7.5+ (Native English speaker is preferred), and knowledge of any additional languages will be considered an asset (especially, Chinese Mandarin). 8. knowledge of whitepapers, private placement memorandums, US laws and regulation (especially US Securities Law; US bar is a plus).
